Terms and Conditions

Please read these Terms and Conditions carefully before using our Service. They set out the agreement between you and Safe Space Alliance and govern your use of our website and services.

 

1. Who we are

Safe Space Alliance (“SSA”, “we”, “us”, or “our”) is a charity registered in New Zealand (Charity Registration Number CC58450), at PO Box 850, Shortland Street, Auckland Central, Auckland, 1140, New Zealand. We run a directory that helps people find and share spaces that welcome LGBTQI+ communities.

2. Interpretation and definitions

Words with a capitalised first letter have the meaning set out below. The same meaning applies whether the word is used in the singular or the plural.

  • Account means the account you create to access parts of the Service.
  • Content means anything you post, upload, or make available through the Service, including text, images, and other material.
  • Listing means an entry you create on the directory to describe a space, organisation, or service.
  • Membership means a free or paid tier that applies to your Listing, as described on our Membership Plans page.
  • Service means the Safe Space Alliance website and the features available through it.
  • Subscription means a recurring paid Membership.
  • You means the person or entity using the Service.

 

3. Acceptance of these terms

By accessing or using the Service, you agree to these Terms. If you do not agree with any part of them, please do not use the Service.

Your use of the Service is also subject to our Privacy Policy, which explains how we handle your personal information. Please read it alongside these Terms.

 

4. Eligibility and age

Anyone may browse the directory. We want people of all ages to be able to find a safe space.

To create an Account, post a Listing, or hold a paid Membership, you must be at least 18 years old. By doing any of these, you confirm that you are 18 or over.

 

5. Accounts

When you create an Account, you agree to provide information that is accurate, complete, and current, and to keep it up to date. Giving false or outdated information is a breach of these Terms and may lead to your Account being suspended or closed.

You are responsible for keeping your password safe and for everything that happens under your Account. Tell us straight away at contact@safespacealliance.com if you think someone has used your Account without permission.

You may not use a username that belongs to someone else, that you have no right to use, or that is offensive.

 

6. Listings

The Service lets you create Listings to help people find safe spaces.

You are responsible for your Listings. You agree that the information in them is accurate and not misleading, and that you have the right to describe the space or organisation you are listing.

We may review, edit the formatting of, decline, or remove any Listing at our discretion, though we are not obliged to review Listings in advance. We do this to keep the directory useful and safe, not to endorse or verify every entry. A Listing appearing in the directory is not a guarantee by us about the space it describes.

 

7. Memberships and payments

Listings are available on a free tier and on two paid tiers:

  • Free: available at no cost.
  • Supporter: USD 4.99 per month.
  • Advocate: USD 12.99 per month.

The features included in each tier are described on our Membership Plans page. Prices are in United States dollars and may change from time to time. If we change the price of a tier you hold, we will give you reasonable notice before it takes effect.

Paid tiers are Subscriptions. They are billed monthly in advance through our payment provider and renew automatically each month until you cancel. By starting a paid Membership, you authorise us and our payment provider to charge your chosen payment method each billing period.

You can cancel a paid Membership at any time from your Account. Cancellation takes effect at the end of the billing period you have already paid for, and your Listing then returns to the free tier. Features available only on a paid tier will no longer apply once you downgrade or cancel.

Payments are generally non-refundable, except where the law requires otherwise or where we agree to a refund at our discretion. If a payment fails, we may suspend the paid features of your Listing until the payment is resolved.

 

8. Donations

You can also support us through voluntary donations. A donation is a gift. It is not a purchase, and you receive no goods or services in return.

Donations are generally non-refundable. If you think a donation was made in error, contact us at contact@safespacealliance.com and we will do our best to help. We are a registered New Zealand charity (CC58450).

 

9. Your content

The Service lets you post Content as part of your Listing. You are responsible for your Content, including whether it is lawful and appropriate.

By posting Content, you grant us a non-exclusive, worldwide, royalty-free licence to use, host, store, reproduce, modify for formatting, publish, and display that Content for the purpose of operating and promoting the Service. You keep all rights you hold in your Content. This licence ends when you remove the Content or close your Account, except where we need to keep it briefly for backups or to meet a legal obligation.

You represent and warrant that:

  • You own your Content, or you have the right to use it and to grant us the licence above; and
  • Your Content, and our use of it as allowed here, does not breach the copyright, privacy, publicity, or other rights of anyone else.

This last point matters most for images. Only upload images you own, or that you have permission from the copyright holder to use.

We take reasonable care to back up the Service, but we cannot guarantee against loss of Content, so please keep your own copy of anything important.

 

10. Content restrictions

You are responsible for all activity under your Account. You may not post Content that is unlawful, harmful, or objectionable. This includes Content that:

  • Is unlawful or promotes unlawful activity;
  • Is discriminatory, harassing, or hateful towards people on the basis of religion, race, sexual orientation, gender, gender identity, disability, national or ethnic origin, or any other protected characteristic;
  • Is defamatory, threatening, obscene, or deliberately upsetting;
  • Infringes anyone’s copyright, trademark, privacy, or other rights;
  • Is spam, or unsolicited or unauthorised advertising;
  • Contains viruses or anything designed to harm or gain unauthorised access to a system;
  • Impersonates any person or organisation, including us; or
  • Is false or misleading.

We may, but are not required to, review Content and decide whether it meets these Terms. We may remove Content, or suspend or close an Account, where these Terms are breached. Because we cannot review everything posted, you use the Service at your own risk and may come across Content you find objectionable.

 

11. Copyright and takedown

We respect the intellectual property rights of others, and we ask our members to do the same.

If you believe Content on the Service infringes your copyright or another right you hold, please email us at contact@safespacealliance.com with:

  • Your name and contact details;
  • A description of the work you say has been infringed;
  • The URL or a clear description of where the infringing Content appears on the Service;
  • A statement that you believe in good faith the use is not authorised by the rights holder or the law; and
  • A statement that the information in your notice is accurate, and that you are the rights holder or authorised to act for them.

When we receive a valid notice, we will review it and may remove or restrict the Content at our discretion. We may let the member who posted the Content know why it was removed.

We may suspend or close the Accounts of members who repeatedly post infringing Content.

If you are a rights holder in the United States, you may instead send a notice under the Digital Millennium Copyright Act, including the information required by 17 U.S.C. 512(c)(3). Either route reaches the same address above.

Misrepresenting that Content infringes your rights may expose you to liability, including costs.

 

12. Indemnity

You agree to indemnify and hold harmless Safe Space Alliance, its officers, volunteers, and agents against any claims, liabilities, losses, and expenses, including reasonable legal costs, arising from Content you post or from your breach of these Terms. This includes any claim that your Content infringes the copyright or other rights of a third party.

 

13. Our intellectual property

The Service and its own content, features, and branding (other than Content posted by you or other members) belong to Safe Space Alliance and its licensors, and are protected by law. You may not use our name, logo, or trade dress without our written permission.

 

14. Feedback

If you send us feedback or suggestions about the Service, you agree that we may use them freely and without any obligation to you.

 

15. Links to other sites

The Service may link to websites we do not own or control. We are not responsible for their content or practices, and we encourage you to read their terms and privacy policies. A link is not an endorsement.

 

16. Termination

We may suspend or close your Account at any time if you breach these Terms, or where we reasonably need to. If we close a paid Membership for a reason that is not your breach, we will refund the part of the current billing period you have paid for but not used.

You can stop using the Service at any time, and you can close your Account or cancel a paid Membership from your Account settings.

 

17. Your statutory rights

Nothing in these Terms limits rights you have under New Zealand consumer law, including the Consumer Guarantees Act 1993 and the Fair Trading Act 1986, or under other laws that cannot be excluded. Where those laws apply, they sit above anything in these Terms that would otherwise limit them.

 

18. Disclaimers and limitation of liability

The Service is provided on an “as is” and “as available” basis. To the extent the law allows, we do not promise that the Service will be uninterrupted, error-free, or fit for any particular purpose, and we give no warranties beyond those that cannot be excluded by law.

To the extent the law allows, we are not liable for indirect or consequential loss, or for loss of data, profits, or opportunity, arising from your use of or inability to use the Service. Where we are liable, and to the extent the law allows us to limit that liability, our total liability to you is capped at the greater of the amount you paid us in the twelve months before the claim, or USD 100.

These limits do not affect the statutory rights described in section 17.

 

19. General

If any part of these Terms is found to be unenforceable, the rest stays in force, and the unenforceable part will be read down only as far as needed to make it valid. If we do not enforce a right straight away, we do not give it up. These Terms are the whole agreement between you and us about your use of the Service.

 

20. Governing law and disputes

These Terms are governed by New Zealand law. If you have a concern or dispute, please contact us first at contact@safespacealliance.com so we can try to resolve it informally. Most issues can be sorted out this way.

 

21. Changes to these terms

We may update these Terms from time to time. If a change is significant, we will make reasonable efforts to give notice before it takes effect, for example by posting a notice on the Service. If you keep using the Service after a change takes effect, you accept the updated Terms.
